1. Acceptance of Terms

Welcome to Covosys Technologies ("Covosys," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE OUR SERVICES.

Covosys provides software development, SaaS solutions, and related technology services. Our Services include but are not limited to:

• Custom software development and engineering
• Artificial Intelligence and machine learning solutions
• Design and branding services
• DevOps and cloud infrastructure services
• Consulting and technical advisory services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. User Obligations

By using our Services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Use the Services only for lawful purposes and in accordance with these Terms
• Not engage in any activity that interferes with or disrupts the Services
• Not attempt to gain unauthorized access to any part of the Services

4. Intellectual Property Rights

4.1 Covosys Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and code, are the exclusive property of Covosys and are protected by international copyright, trademark, and other intellectual property laws.

4.2 Client Property

Unless otherwise agreed in writing, any intellectual property you provide to us remains your property. Upon full payment, any custom work created specifically for you will be transferred to you as outlined in your service agreement.

5. Payment Terms

The following payment terms apply to our Services:

• Fees are as quoted in your service agreement or proposal
• Payment schedules will be outlined in your specific contract
• Late payments may incur additional charges as specified in your agreement
• All fees are non-refundable unless otherwise stated
• Prices are subject to change with reasonable notice

WE RESERVE THE RIGHT TO SUSPEND OR TERMINATE SERVICES FOR NON-PAYMENT AFTER PROVIDING REASONABLE NOTICE.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the business relationship.

Confidential information includes, but is not limited to, business plans, technical data, product ideas, customer lists, and financial information.

This obligation of confidentiality shall survive the termination of any agreement between the parties for a period of three (3) years.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVOSYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount paid by you to Covosys in the twelve (12) months preceding the claim.

8. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

9. Termination

Either party may terminate the service relationship as outlined in the specific service agreement.

• We may suspend or terminate your access to Services immediately for violation of these Terms
• Upon termination, your right to use the Services will immediately cease
• Provisions that by their nature should survive termination will remain in effect
• Any outstanding payments remain due upon termination

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to the appropriate courts in Kathmandu, Nepal.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website with a new "Last Updated" date.

Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
